SS&B business clients look to us for general legal counsel on myriad matters, from business transactions, to internal organization and governance, to employment law. When warranted by complexity, jurisdiction or urgency, we may advise clients to retain special counsel for discrete matters.
Transactional Representation
SS&B attorneys negotiate, review and prepare agreements covering a wide range of business transactions, including marketing agreements, service agreements, consulting agreements, employment agreements, termination of employment agreements, noncompetition agreements and leases.
Organization and Governance
SS&B attorneys prepare notices and agendas of annual and special meetings of shareholders and directors, attend meetings, provide general legal advice, and prepare minutes; and prepare motions and resolutions. In some cases, we prepare stock subscription letters and stock certificates, and maintain corporate books and stock records. We assist clients, as needed, in selecting or serving as a statutory registered agent, and in preparing routine annual reports and franchise tax returns. We also have experience handling major events, such as the change of ownership or control of a business through asset purchase agreements, stock purchase agreements and agreements of merger.
Employment Law
SS&B represents employers or employees in negotiating employment agreements and termination agreements. We are especially attuned to compensation requirements for tax-exempt association executives. We also handle select employment policy matters.
